Terms of Service

These Terms of Service ("Terms") are a binding agreement between you ("you," "your," "Customer") and Opactor Inc. ("Anymorph," "we," "us," "our") governing your access to and use of the Anymorph platform at https://anymorph.ai and any related services (the "Service").
By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
1. The Service
Anymorph is a Generative Engine Optimization (GEO) platform that generates and publishes AI-optimized landing pages on a customer's domain, and provides analytics to improve the customer's visibility in AI engines such as ChatGPT, Gemini, and Perplexity.
The Service may evolve over time. We may add, change, or remove features, and we will make reasonable efforts to notify you of material changes.
2. Eligibility and accounts
2.1 Eligibility
You must be at least 18 years old and legally capable of entering into a binding contract to use the Service. If you use the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
2.2 Account registration
You are responsible for:
• Providing accurate and current information
• Keeping your credentials confidential
• All activity that occurs under your account
Notify us immediately at security@anymorph.ai if you suspect unauthorized access.
3. Subscription, fees, and billing
3.1 Plans
Some features of the Service require a paid subscription. Plan details, pricing, and feature limits are published on our pricing page or agreed in a separate order form.
3.2 Billing
Unless otherwise specified, subscriptions are billed in advance on a recurring basis (monthly or annually). By subscribing, you authorize us (or our payment processor) to charge the payment method you provide.
3.3 Taxes
Fees are exclusive of taxes. You are responsible for all applicable taxes.
3.4 Refunds
Except as required by law, fees are non-refundable.
3.5 Changes to pricing
We may change pricing with at least 30 days' notice. Changes apply to the next billing cycle after the notice period.
4. Customer content and responsibilities
4.1 Customer content
"Customer Content" means any material you upload, submit, or connect to the Service, including brand information, domain ownership, reference URLs, product data, and content sourced from your connected Google accounts.
You retain all rights to Customer Content. You grant Anymorph a worldwide, non-exclusive, royalty-free license to host, store, process, transmit, and display Customer Content solely to operate and provide the Service to you.
4.2 Customer responsibilities
You represent and warrant that:
• You own or have the necessary rights to Customer Content and to publish pages to the domains you connect
• Your use of the Service complies with applicable laws and third-party rights
• You will obtain all required consents (including from end users of your website) before connecting analytics sources to the Service
4.3 Generated content
Pages generated by the Service are prepared on your behalf. You are responsible for reviewing generated pages before they are published to your domain and for ensuring they are accurate, lawful, and appropriate for your business.
5. Third-party integrations
The Service integrates with third-party platforms, including Google (Google Search Console, Google Analytics), Clerk, and AI model providers (e.g., OpenAI, Anthropic, Google).
5.1 Your authorization
When you connect a third-party account, you authorize Anymorph to access and use the data and perform the actions described in our Privacy Policy and the third party's consent screens. You can disconnect an integration at any time in workspace settings or directly in the third-party account.
5.2 Google API Services
Anymorph's use and transfer of information received from Google APIs adheres to the Google API Services User Data Policy (https://developers.google.com/terms/api-services-user-data-policy), including the Limited Use requirements. See our Privacy Policy for details.
5.3 Third-party terms
Third-party integrations are subject to their own terms and privacy policies. Anymorph is not responsible for the availability, accuracy, or practices of third-party services.
6. Acceptable use
You agree not to:
• Use the Service to generate or publish content that is illegal, defamatory, infringing, harassing, deceptive, or that violates third-party rights
• Generate pages or metadata for domains you do not own or control
• Reverse-engineer, decompile, or attempt to derive the source code of the Service (except where permitted by law)
• Scrape, crawl, or programmatically access the Service other than through our documented APIs
• Interfere with or disrupt the Service, including denial-of-service attempts
• Use the Service to compete with Anymorph (e.g., to build a derivative GEO platform)
• Use the Service to train third-party machine learning models without written consent
• Circumvent rate limits, usage quotas, or security controls
We may suspend or terminate your account for violations of this section.
7. Intellectual property
7.1 Our property
The Service, including its software, design, trademarks, and documentation, is owned by Anymorph or its licensors and is protected by intellectual property laws. Except for the limited rights expressly granted in these Terms, we reserve all rights.
7.2 Your property
You retain all rights to Customer Content and to pages we generate for you on your domain.
7.3 Feedback
If you provide suggestions or feedback, you grant us a perpetual, irrevocable, royalty-free license to use it without restriction.
8. Confidentiality
Each party will protect the other party's confidential information with at least the same care it uses for its own confidential information (and no less than reasonable care), and will use it only to perform these Terms.
9. Privacy
Our collection and use of personal information is governed by our Privacy Policy (https://anymorph.ai/privacy), which is incorporated into these Terms.
10. Term and termination
10.1 Term
These Terms apply from the date you first access the Service until terminated.
10.2 Termination by you
You may cancel your subscription or delete your account at any time in workspace settings or by contacting contact@opactor.com.
10.3 Termination by us
We may suspend or terminate your account:
• For breach of these Terms
• For non-payment
• If required by law
• If we reasonably believe your use poses a security, legal, or reputational risk
10.4 Effect of termination
On termination, your right to use the Service ends. We will delete or return Customer Content in accordance with our Privacy Policy, except as required to comply with legal obligations. Sections that by their nature should survive (including 4.1, 7, 8, 11, 12, 13, 14, 17) survive termination.
11. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, ANYMORPH DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
ANYMORPH DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT GENERATED CONTENT WILL ACHIEVE ANY SPECIFIC SEO, GEO, OR BUSINESS OUTCOME.
12. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
• NEITHER PARTY WILL BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, OR FOR LOST PROFITS, REVENUES, DATA, OR GOODWILL, ARISING OUT OF THESE TERMS OR THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
• EACH PARTY'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS WILL NOT EXCEED THE AMOUNTS YOU PAID TO ANYMORPH IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY (OR USD 100, WHICHEVER IS GREATER).
These limits do not apply to liabilities that cannot be excluded under applicable law.
13. Indemnification
You will indemnify and hold Anymorph harmless from any third-party claim arising out of or related to:
• Customer Content
• Pages you publish using the Service
• Your breach of these Terms
• Your violation of applicable law or third-party rights
14. Governing law and dispute resolution
These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws principles. Opactor Inc. is a Delaware C-corporation.
Any dispute arising out of or related to these Terms will be resolved exclusively in the state and federal courts located in San Francisco County, California, where Anymorph maintains its principal place of business, and the parties consent to personal jurisdiction there.
15. Changes to these Terms
We may update these Terms from time to time. When we make material changes, we will update the "Last updated" date at the top and notify you by email or in-product notice at least 30 days before the change takes effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.
16. Miscellaneous
16.1 Entire agreement
These Terms, together with our Privacy Policy and any order form, are the entire agreement between you and Anymorph regarding the Service.
16.2 Assignment
You may not assign these Terms without our written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
16.3 Severability
If any provision of these Terms is held invalid, the remaining provisions remain in effect.
16.4 No waiver
Failure to enforce any provision is not a waiver of the right to enforce it later.
16.5 Force majeure
Neither party is liable for delays or failures caused by events outside its reasonable control.
16.6 Notices
We may send notices to the email address associated with your account. You must send notices to Anymorph at legal@anymorph.ai (or contact@opactor.com).
